1. Acceptance of Terms

These Terms of Service ("Terms") form a binding agreement between you and Asindie, Inc. ("nsupp," "we," "us," or "our") and govern your access to and use of the nsupp platform, its websites, the current waitlist and early-access program, and any related software, documentation, and services (collectively, the "Service"). By joining the waitlist, creating an account, accessing an early-access build, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

If you use the Service on behalf of a company or other organization, you represent that you are authorized to bind that organization, and "you" refers to that organization. These Terms are effective as of 14 May 2026.

1.1 Related Agreements

Your use of the Service is also governed by our Privacy Policy and, where personal data is processed on your behalf, by our Data Processing Agreement ("DPA"). Those documents are incorporated into these Terms by reference. If a conflict arises between these Terms and the DPA with respect to the processing of personal data, the DPA controls for that subject matter.

2. Description of the Service

nsupp is an AI-native customer-support and customer-management platform that combines live customer engagement with e-commerce and marketplace support in a single workspace. Depending on your configuration and plan, the Service may include:

  • Live-chat widget — an embeddable chat widget for your website, with proactive triggers, an offline form, satisfaction (CSAT) collection, file upload, and typing indicators.
  • Unified inbox — a single inbox with sub-inboxes and source filters, where each conversation carries an origin tag (for example chat, marketplace, email, or review) so that channels appear in one list.
  • Ticket center and help center — email-to-ticket handling, a public ticket portal, a knowledge base with retrieval-augmented search, and a reviews inbox.
  • Live Browser co-browse — session co-viewing tools to help you assist end-users in context.
  • In-app calls — peer-to-peer (P2P) audio and video calls conducted in the browser. These calls are not telephone (PSTN) calls, and call media is exchanged directly between participants rather than routed through nsupp's servers.
  • Bot and automation builder — workflow, routing, and campaign tools for automating parts of your support operation.
  • AI features — assistance powered by our own Qwen3 large language model, operated under human-in-the-loop controls (see Section 7).
  • Integrations — native connectors to supported commerce platforms, marketplaces, review services, shipping providers, email, and workflow tools (see Section 6).

2.1 Our Infrastructure

nsupp is operated by us on our own cloud infrastructure. Certain features depend on services you configure (for example, your own email transport, storage, or connected platform accounts). You are responsible for the environment, credentials, and connected accounts under your control.

2.2 Pre-Launch, Waitlist, and Beta Status

The Service is currently in a pre-launch, waitlist, and early-access stage. No paid subscription is generally available yet. Features are under active development and may be added, changed, delayed, or removed at any time. Early-access and beta functionality is provided for evaluation and may contain errors, behave unexpectedly, or be interrupted. We make no representation that any feature described here will remain available, and we do not offer uptime, availability, or service-level guarantees during this stage.

3. Eligibility and Accounts

3.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is intended for businesses and professionals and is not directed to children. We do not knowingly provide the Service to, or collect personal information from, children under 13.

3.2 Account Registration

To access certain features you may need to create an account or be added to a workspace. You agree to provide accurate, current, and complete information and to keep it up to date. Access is granted at our discretion during the waitlist and early-access period, and we may limit, queue, or decline access.

3.3 Account Security

You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account or workspace. You must use available security measures (such as strong passwords and multi-factor authentication where offered) and notify us promptly at contact@nsupp.com of any suspected unauthorized access. You are responsible for the acts and omissions of the users you invite to your workspace.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You will not, and will not permit any user or third party to:

  • use the Service in violation of any applicable law, regulation, or third-party right, including data-protection, consumer-protection, anti-spam, and intellectual-property laws;
  • send unsolicited bulk or commercial messages ("spam"), or use the Service in a manner that violates the anti-spam or messaging rules of any channel or connected platform;
  • harass, threaten, defame, or abuse any person, or transmit content that is unlawful, harmful, or infringing;
  • upload or transmit malware, or attempt to gain unauthorized access to the Service, other accounts or workspaces, or any connected system;
  • probe, scan, or test the vulnerability of the Service, or breach or circumvent any security, authentication, rate-limiting, or access-control measure;
  • scrape, harvest, or systematically extract data from the Service except through functionality we expressly provide, or use automated means to overload or impair the Service;
  • reverse engineer, decompile, or disassemble any part of the Service, or attempt to derive source code, except to the extent this restriction is prohibited by applicable law;
  • resell, sublicense, or provide the Service to third parties except as expressly permitted; or
  • use the Service to develop a competing product by copying its features or design.

We may investigate suspected violations and may suspend or restrict access to protect the Service, our users, or connected platforms. You remain responsible for content you and your users transmit through the Service.

5. Customer Data and the DPA

5.1 Roles

As between you and nsupp, you are the controller of the personal data of your end-users, customers, and contacts that is processed through the Service ("Customer Data"), and nsupp acts as your processor, processing Customer Data on your documented instructions and only to provide the Service. You are responsible for establishing a lawful basis for your processing, for providing required notices to your end-users, and for honoring their rights.

5.2 Data Processing Agreement

The processing of personal data on your behalf is governed by our Data Processing Agreement, which addresses processing scope, security measures, sub-processors, international transfers, and assistance with data-subject requests and breach notification. The DPA is designed to be conformant with applicable data-protection frameworks (such as the GDPR and KVKK). We make no claim of certification under any standard.

5.3 Privacy Policy and Minimization

Our Privacy Policy describes the categories of data we handle, how connected commerce and marketplace data is treated (including data we relay live without persisting and profile data we cache with encryption and time-limited retention), and how deletion and export requests are fulfilled through a single operator gateway. The Service is designed around data minimization; you should configure connected accounts using the narrowest scopes needed for your use.

5.4 Your Responsibilities

You must not upload or process Customer Data that you are not permitted to process, and you should avoid transmitting special-category or unnecessary personal data through the Service. You are responsible for the accuracy and legality of the Customer Data you provide.

6. Third-Party Integrations

The Service can connect to third-party platforms and services, including commerce platforms, marketplaces, review services, shipping providers, email systems, and workflow tools. These integrations are provided to help you work with accounts you already control.

6.1 Your Authorizations and Compliance

You represent that you are authorized to connect each account and to grant nsupp access to the data and actions the integration requires. Your use of each connected platform remains subject to that platform's own terms of service, API terms, developer policies, and privacy requirements, and you are solely responsible for complying with them. You must not use an integration in a way that breaches a platform's rules or exceeds the authorization you hold.

6.2 Availability and Changes

Third-party platforms are operated independently of nsupp. They may change, deprecate, rate-limit, or discontinue their APIs, and any such change may affect or disable an integration. We do not control and are not responsible for third-party services, and we make no warranty regarding their availability, accuracy, or continued operation. Data you exchange with a connected platform is also governed by that platform's terms and privacy practices.

7. AI Features

Certain features use artificial intelligence powered by our own Qwen3 large language model. These features are designed to assist your team, not to replace human judgment.

  • Assisted drafts, human review required. AI outputs — such as suggested replies, rewrites, summaries, translations, classifications, and sentiment or triage signals — are drafts intended for human review. The composer returns drafts for your approval and does not auto-send on your behalf, and the Service is designed to avoid high-risk automated decisions.
  • No warranty of accuracy. AI outputs may be incomplete, inaccurate, or unsuitable for a given situation. You are responsible for reviewing, editing, and approving any AI-assisted content before it is sent or acted upon, and for ensuring it is appropriate and lawful.
  • Grounded order facts. Where the order-status assistant reports factual details (such as order or tracking status), those facts are drawn from your connected commerce and marketplace connectors rather than generated by the model. The accuracy of such facts depends on the connected platform's data.
  • No training on your data. Because we run the model on our own servers, Customer Data is not used to train a third-party model. AI-related logging is limited to metadata; message content is not logged as part of AI processing.
  • Transparency. Where AI is used to interact with your end-users, we support disclosing that they are interacting with an automated system, and you are responsible for configuring and providing such disclosures as required by applicable law.

8. Intellectual Property

8.1 Our Rights

The Service, including its software, design, user interface, documentation, and the nsupp name and logos, is owned by Asindie, Inc. or its licensors and is protected by intellectual-property laws. Except for the limited right to use the Service under these Terms, no rights are granted to you. We reserve all rights not expressly granted.

8.2 Your Content

You retain all rights to the content, materials, and data you and your users submit to or generate through the Service ("Your Content"). You grant us a limited, non-exclusive license to host, process, transmit, and display Your Content solely to provide, secure, and support the Service and as further described in the Privacy Policy and DPA. You represent that you have the necessary rights to Your Content and that it does not infringe the rights of any third party.

8.3 Feedback

If you provide suggestions or feedback about the Service, we may use it without restriction or obligation to you.

9. Fees, Plans, and Early Access

9.1 Waitlist and Early Access

Joining the waitlist or participating in early access does not create any obligation for you to purchase, or for us to sell, a paid subscription. Access may be limited, invitation-based, or discontinued at our discretion during this stage.

9.2 Pricing Is Not Final

Any plan names, seat tiers, or pricing indications shown during the pre-launch period are provisional and subject to change. Prices are not final and do not constitute an offer. Paid plans, billing terms, and any applicable taxes will be presented and must be expressly accepted before any charge applies.

9.3 Future Paid Plans

When paid plans become generally available, additional or superseding commercial terms (including billing frequency, renewal, and refund terms) will apply and will be made available at or before the point of purchase.

10. Beta Status and Disclaimer of Warranties

The Service is provided during the pre-launch, waitlist, and early-access stage on an "AS IS" and "AS AVAILABLE" basis, with all faults and without warranties of any kind. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranty arising from course of dealing or usage of trade.

We do not warrant that the Service will be uninterrupted, timely, secure, or error-free, that defects will be corrected, that AI outputs will be accurate, or that the Service will meet your requirements. Beta and early-access features may be modified or withdrawn at any time. You use the Service at your own risk and are responsible for maintaining your own backups of important data. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

11. Limitation of Liability

To the maximum extent permitted by law, neither Asindie, Inc. nor its officers, employees, or suppliers will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business, arising out of or relating to the Service or these Terms, even if advised of the possibility of such damages.

To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the Service and these Terms will not exceed the greater of (a) the amounts you actually paid to us for the Service in the three months preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (USD 100). Because the Service is currently provided during a free pre-launch stage, you acknowledge that no fees may have been paid and that this limitation reflects the allocation of risk between the parties. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

12. Indemnification

You agree to defend, indemnify, and hold harmless Asindie, Inc. and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) Your Content or Customer Data, including any processing that lacks a lawful basis or required notice; (c) your connection or use of any third-party integration, or your breach of any connected platform's terms; (d) your violation of these Terms or applicable law; or (e) your infringement of any third-party right. We will notify you of any such claim, and you will cooperate in the defense; we may participate with counsel of our choosing at our own expense.

13. Term and Termination

These Terms apply for as long as you use the Service. You may stop using the Service and close your account at any time.

We may suspend or terminate your access, in whole or in part, with or without notice, if you breach these Terms, if required to protect the Service, our users, or a connected platform, or if we discontinue the waitlist, early-access program, or the Service. Because the Service is in a pre-launch stage, we may also modify or discontinue any part of it at any time.

13.1 Effect of Termination

Upon termination, your right to use the Service ceases. Disconnecting an integration, uninstalling, or deleting your workspace triggers deletion of associated data and revocation of stored access tokens, and data deletion following termination is handled as described in the Privacy Policy and DPA. Sections that by their nature should survive termination — including Sections 8, 10, 11, 12, 14, 15, and 17 — will survive.

14. Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. Subject to Section 15, the exclusive venue for any dispute that may be brought in court will be the courts located in the State of Delaware, United States, and you consent to their personal jurisdiction. Where mandatory local law grants you protections that cannot be waived (for example, consumer or data-protection rights under KVKK or the GDPR for users in those jurisdictions), nothing in these Terms limits those protections.

15. Dispute Resolution

Before initiating any formal proceeding, you agree to first contact us at contact@nsupp.com and attempt in good faith to resolve the dispute informally. If a dispute is not resolved within thirty (30) days, either party may pursue the remedies available under these Terms.

To the extent permitted by applicable law, any dispute arising out of or relating to these Terms or the Service will be resolved on an individual basis, and you agree not to bring or participate in any class or representative action. Nothing in this section prevents either party from seeking injunctive or equitable relief to protect its intellectual-property or confidentiality rights, or from bringing a matter before a competent data-protection authority where the law provides that right. Where any part of this section is unenforceable under mandatory local law applicable to you, that part will not apply to you and the remainder will continue in effect.

16. Changes to These Terms

We may update these Terms from time to time, particularly as the Service evolves from its pre-launch stage toward general availability. If we make material changes, we will provide reasonable notice, such as by posting the updated Terms with a new effective date or by notifying you through the Service or by email. Changes take effect when posted unless stated otherwise. Your continued use of the Service after changes become effective constitutes acceptance. If you do not agree to the updated Terms, you should stop using the Service.
